Program Summary

Lease agreements, construction contracts, licenses, and sales agreements often include insurance and indemnity clauses that impose specific requirements upon the parties to obtain and maintain insurance and to also indemnify the other party (and perhaps certain third parties) for injuries, death or property damage liability claims. These clauses often include outdated or nonexistent language, or are not broad enough to protect owners, landlords, and construction managers. On the other hand, those agreements to provide such insurance coverage may not be in compliance with the scope of limits of insurance coverage on their commercial insurance program. Additional insureds and loss payees as well as land contract vendors face issues with how such parties should be listed on the insurance of the obligee. We often find such contract provisions in need of improvement and this webinar will offer practical advice, real case examples and lessons on how such language should appear to best protect the parties.

Key topics to be discussed:

  • Insurance and indemnity requirements in leases from the standpoint of the landlord and the tenant
  • Insurance and indemnity requirements in construction agreements from the standpoint of the parties
  • Insurance and indemnity requirements in vendor and other contract types
  • How to review the insurance policies of the obligee: What to look for and common gaps
  • Additional insureds, loss payees, and vendor coverage labels and what to look for
  • Certificates of insurance: How valuable are they really?
  • Insurance and indemnity requirements
